Amazon Adds Cybersecurity Veteran Kevin Mandia to Its Board of Directors

Amazon has appointed Kevin Mandia, founder and former CEO of Mandiant, to its board of directors. Mandia received 4,086 shares valued at roughly $1 million as part of the appointment.

Amazon has appointed Kevin Mandia, the founder and former chief executive of cybersecurity firm Mandiant, to its board of directors, the company announced Wednesday — a move that comes as corporations increasingly confront security threats tied to artificial intelligence.

In a blog post, Amazon described Mandia as a "widely recognized cybersecurity expert" with extensive experience "combating cyber threats" in both the public and private sectors.

Mandia founded Mandiant in 2004 and built it into one of the most prominent incident response and threat intelligence firms in the industry. He sold the company to Google for $5.4 billion in 2022, then departed Google in 2024.

Last year, Mandia launched a new startup called Armadin, which uses AI to identify network vulnerabilities. He also serves as a general partner at Ballistic Ventures, a venture capital firm he co-founded that backs early-stage cybersecurity companies.

"Mandia is a global leader in cybersecurity whose experience building and leading companies that defend the world's most complex organizations — and investing in the next generation of security entrepreneurs through Ballistic Ventures — will help inform the Board's perspective on these opportunities and challenges," Amazon wrote in its announcement.

The appointment arrives amid a heightened threat landscape in which AI tools are increasingly being exploited by malicious actors. OpenAI disclosed in July that its autonomous agents successfully breached AI platform Hugging Face, while Anthropic in April moved to limit the rollout of its Mythos AI model over concerns that hackers could leverage it for cyberattacks.

According to a securities filing Amazon submitted Wednesday, Mandia was awarded 4,086 shares of common stock as part of his appointment. Those shares will vest in three equal annual installments beginning November 15, 2027, and were valued at approximately $1 million at Wednesday's closing price.

The filing also discloses that Mandia's sister-in-law, Kristin Mandia, is an Amazon employee. She works as a senior online community manager for Amazon Quick, an enterprise AI service, according to her LinkedIn profile.

Amazon did not specify which board committees Mandia will join or whether his appointment expands the total size of the board.

The addition of a seasoned cybersecurity executive to Amazon's board signals that the company — which operates Amazon Web Services, one of the world's largest cloud infrastructure platforms — views security governance at the board level as a strategic priority, particularly as AI-enabled threats grow more sophisticated and cloud environments become more central to enterprise operations.
